Agreement

By accessing our website or engaging Bots-AI for services, you agree to these Terms of Service. If you are accepting on behalf of a company, you represent that you have authority to bind that organization. Paid work is also governed by a separate statement of work, order form, or master services agreement ("MSA") — if there is a conflict on a specific commercial point, the signed order documents control for that engagement.

Legal entity and place of business

We operate under one legal entity that does business as Bots-AI and, for our retrieval product and related offerings, as RetrievIQ (DBA). Our principal business address is in Roseville, California (see the Contact section on our homepage).

Services

We design, integrate, and operate automation and conversational systems tied to your tools and data. Features, timelines, and deliverables are defined in your order. We may use subcontractors who meet our confidentiality and security expectations.

Your data and responsibilities

You retain ownership of your data. You are responsible for the legality of the content you provide (including policies, FAQs, CRM data, and knowledge bases), for obtaining any notices or consents needed for your use cases, and for configuring retention and access in line with your obligations. Acceptable use

You will not use our services to break the law, infringe rights, send malware, attempt unauthorized access, or build systems intended to deceive end users in ways you have not disclosed. We may suspend service for material violations after reasonable notice where practicable.

Intellectual property

We keep rights to our pre-existing tools, frameworks, and methods. You receive a license to use deliverables as stated in your order. Feedback you give us may be used to improve our offerings without obligation to you.

Third-party services

Integrations (CRM, telephony, LLM providers, etc.) are subject to those vendors' terms. You are responsible for your accounts and compliance with their policies.

Disclaimers

Except as expressly stated in a signed order, services are provided "as is." AI-generated outputs can be wrong; you are responsible for human review where stakes are high (clinical, legal, financial, or safety-critical decisions). We disclaim implied warranties to the fullest extent permitted by law.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of these terms or the services in any twelve-month period is capped at the fees you paid us in that period (or, if none, at one hundred U.S. dollars), except for obligations that cannot be limited by law (willful misconduct, gross negligence, or your payment obligations).

Indemnity

You will defend and indemnify us against third-party claims arising from your data, your instructions, or your violation of these terms, subject to our prompt notice and reasonable cooperation.

Termination

Either party may terminate for uncured material breach after written notice. Provisions that by nature should survive (confidentiality, liability limits, indemnity) survive termination. Data return and deletion follow your MSA or statement of work.

Governing law

These terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. That choice of law governs the interpretation and enforcement of these Terms and does not relocate our principal place of business from California. Courts in Delaware have exclusive jurisdiction for disputes arising under these Terms, except that either party may seek equitable relief in any court of competent jurisdiction.

Changes

We may update these terms for the website; continued use after posting constitutes acceptance of non-material changes. Material changes to active customers will follow your contract.
